Comarch disappears from the Warsaw Stock Exchange. It is bought by the owner of Żabka

One of the most famous technology companies in Poland is going up for sale. Listed on the Warsaw Stock Exchange Comarch is in the process of selling 100% of its shares. The buyer is the global investment fund CVC, which we know in Poland from Żabka chain of stores.

Comarch, whose founder Janusz Filipiak died last year, is to be taken over in 100% by CVC and thus disappear from the Warsaw Stock Exchange.

The Filipiak family, together with CVC Capital Partners Fund IX and Ms. Anna Prokop, announce their intention to announce a tender offer for 100% of Comarch SA shares

Comarch shareholders were to receive a sales offer worth PLN 315.40 per share. At the time of the announcement of the tender offer for the company’s shares, this price significantly exceeded the stock exchange valuation, which on Tuesday was around PLN 280. After the information about the takeover, the price jumped up, closing Wednesday’s session at PLN 326.

Comarch is one of the largest companies on the Polish, and even European, IT market. It deals with the design and implementation of IT systems and network infrastructure. In 2023, Comarch achieved sales of PLN 1.8 billion and an operating profit of PLN 96.3 million.

CVC is a global investment fund. It currently manages 130 companies with a combined value of almost $200 billion. It has offices in 29 countries. In 2017, the fund took over the Żabka chain of stores. The official amount of the transaction was not disclosed, but it is speculated that it exceeded 1 billion euros.

For several years CVC was also the owner PKP Energy. The fund bought the energy supplier for the Polish rail sector in 2015, reselling it to PGE in 2022.
